Tender Description

The Pakistan National Shipping Corporation (PNSC) through its CA & Shares Department located at 14th Floor, PNSC Building, M.T. Khan Road, Karachi, is procuring the appointment of a Shares Registrar (Registrar/Transfer Agent) for the financial year 2025-26. This procurement is specifically for the provision of non-consultancy services related to share registrar functions including handling transactions of ordinary shares, maintaining computerized members' registers, processing dividend payments, bonus and right share issuances, and compliance with legal obligations as a Shares Registrar. The scope of work includes maintaining manual and computerized specimen signatures, correspondence with shareholders and regulators, processing transfers, deposits, withdrawals, issuance of duplicate certificates, splitting and consolidation of shares, custody of undelivered certificates, preparation of reports, and other standard registrar duties. The appointed registrar will also handle withdrawal of shares from CDC, maintain records, and ensure proper documentation and data security. Eligible bidders must be registered with FBR and Sindh Sales Tax authorities, be on the Active Taxpayer List, and have relevant experience in handling right-share issues, bonus-share issues, and IPOs. The bidder must demonstrate technical competence, financial resources, and have a robust IT infrastructure with qualified personnel. The evaluation will be based on technical criteria including client base, experience, audited financial statements, turnover, and value-added services. Bids must be submitted electronically through EPADS v2.0 by Tuesday, June 9, 2026 at 11:00 AM. Manual submissions will not be accepted. The bid security must be submitted in the form of a Pay Order to the CA & Shares Department at the PNSC Building. The technical and financial bids will be evaluated using Least Cost Based Selection (LCBS) technique. The contract will require a performance guarantee of 10% of the contract price.
